Dividend policy

The fiscal year-end earnings of the Company shall be applied to the following uses in order: payments of taxes, adjustments per financial and accounting principle, making-up of deficit, legal reserve, special reserve by law or reversal, and preferred shares dividends, the remaining earnings, if any, will be the undistributed earnings of the year, plus the beginning undistributed earnings, it will be the accumulated distributable earnings, and Board of Directors will draft the proposal for earnings distribution and have it passed by the resolution of shareholders’ meeting before distribution or modification. Shareholders dividend and bonus may be distributed in cash and/or by stock, provided the cash dividend shall not be less than ten percent of the total dividends.
